These Terms & Conditions ("Terms") govern your access to and use of the patient engagement service provided by Healing Momentum LLC ("Healing Momentum," "we," "us") (the "Service"). By accessing the Service, enrolling as a patient, or using a practitioner account, you agree to these Terms.

1. The Service

The Service helps integrative and functional medicine practitioners stay connected with their patients between visits through structured check-ins, reminders, progress tracking, and related care-coordination tools. The Service is made available to patients through their enrolling practitioner.

2. Not Medical Advice; No Emergency Use

The Service is a communication and tracking tool. It does not provide medical advice, diagnosis, or treatment. All clinical decisions are made by your practitioner. The Service is not designed for medical emergencies. If you are experiencing a medical emergency, call 911 or your local emergency number immediately.

4. Text Messaging

If you opt in to text messages, you authorize Healing Momentum to send care-related text messages to the mobile number you provide, including check-in reminders, appointment notifications, and intake prompts. Message frequency varies, typically 1 to 4 messages per week. Message and data rates may apply. Consent to receive text messages is not a condition of receiving care from your practitioner.

5. Health Information and HIPAA

When you submit health information through the Service, that information is shared with your enrolling practitioner to support your care. Where Healing Momentum processes protected health information on behalf of a practitioner who is a HIPAA-covered entity, we act as a Business Associate under HIPAA. 7. Intellectual Property

The Service, including its software, content, branding, and design, is owned by Healing Momentum or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. Subject to applicable law and any consents you grant, you retain ownership of the content you submit.

8. Practitioners

Practitioner accounts are governed by a separate written agreement with Healing Momentum. Practitioners are independent professionals responsible for their own clinical decisions and for complying with the laws and ethical rules that apply to their practice. Healing Momentum does not practice medicine and does not supervise or control practitioner care.

9. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Healing Momentum disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that the Service will meet your requirements, that defects will be corrected, or that the Service will be free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, Healing Momentum and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim arising out of or related to the Service will not exceed one hundred U.S. dollars (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Healing Momentum from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of any third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. You may stop using the Service at any time. The provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. The state and federal courts located in Maryland will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
